3.2.13  For any entity organized separately from the institution and formed primarily for the purpose of supporting the institution or its programs, (1) the legal authority and operating control of the institution is clearly defined with respect to that entity; (2) the relationship of that entity to the institution and the extent of any liability arising out of that relationship is clearly described in a formal, written manner; and (3) the institution demonstrates that (a) the chief executive officer controls any fund-raising activities of that entity or (b) the fund-raising activities of that entity are defined in a formal, written manner which assures that those activities further the mission of the institution. (Institution-related entities)

Narrative

 

The University of New Orleans Foundation and the University of New Orleans Research and Technology Foundation Inc., are the two primary foundations supporting the University. Two other affiliate organizations support the University of New Orleans: the UNO International Alumni Organization and the Privateer Athletic Association. Each affiliate is described below.

The University of New Orleans Foundation 

The University of New Orleans Foundation (Originally known as the University of New Orleans Fund) serves as the primary recipient of private donations and contributions to endowment funds which are held, invested and expended in support of University programs. The Articles of Incorporation were originally filed in 1984. The relationship between the University of New Orleans and the University of New Orleans Foundation is governed by an Affiliation Agreement that describes the relationship between the two entities and delineates their respective liabilities.

As dictated in the Bylaws of the affiliate, the President of the University of New Orleans serves as a Board member [Page: 2] for the UNO Foundation. The Affiliation Agreement describes the University’s relationship with its affiliated Foundation and outlines responsibilities for both parties. The Agreement also includes indemnification protection [Page: 2] for both the University and the Foundation against all claims, damages and liability incurred as a result of any act or omission by the University or Foundation. The Affiliation Agreement was recently updated in 2013 and approved [Page: 9] by the UNO’s governing Board, the University of Louisiana System Board of Supervisors.

Day to day management of the UNO Foundation is the responsibility of the Executive Director. The UNO Foundation is an institutionally-related pubic foundation which invests and manages private assets gifted to the university.

University of New Orleans Research and Technology Foundation   

The University of New Orleans Research and Technology Foundation, Inc. was founded to support the University of New Orleans in its research, property and facilities financing, technology transfer and acquisition and management functions. The Articles of Incorporation were filed in 1997 for this affiliate organization. The Bylaws specify that the President of the University of New Orleans and the Vice-President of Research and Economic Development serve on the Board of Directors. The University’s relationship to the Foundation is described in the Affiliation Agreement. Indemnification language [Page: 2] is included in the Affiliation Agreement to protect both the University and the Foundation against claims, damages, and liability incurred as a result of any act or omission by the University or the Research and Technology Foundation. The Affiliation Agreement was recently updated in 2014 and approved [Page: 9] by the University of Louisiana System Board of Supervisors which serves as the governing Board for the University of New Orleans. Day to day management of the University of New Orleans Research and Technology Foundation is the responsibility of the Executive Director.

Privateer Athletic Foundation

As indicated in the Articles of Incorporation, the primary purpose of the Privateer Athletic Foundation (formerly known as the UNO Athletic Association) is to promote, support, and financially supplement the University of New Orleans’ Department of Intercollegiate Athletics. The organization raises the necessary resources to further educational opportunities for student athletes while building a competitive NCAA Division I sports program. Funds raised annually directly assist all intercollegiate sport programs at UNO, with a focus on scholarships, improving our facilities and creating a first-class environment for our student-athletes and our fans.

Bylaws of the Privateer Athletic Foundation describe the procedures for securing the Board of Directors. The Director of Athletics for the University of New Orleans serves on the Board. The Affiliation Agreement was revised in 2013 to include indemnification [Page: 5]  language to provide the same protection described above for both the University of New Orleans and the Privateer Athletic Foundation. The revised Affiliation Agreement was approved [Page: 9] by the University of Louisiana System Board of Supervisors.

UNO International Alumni Association

Originally chartered in 1967 as the LSUNO Alumni Association, the mission of the UNO International Alumni Association is to promote the long-term welfare of the University, its students and alumni, foster loyalty and support for the University; promote fellowship among alumni and serve as the vehicle through which all university alumni, friends and community members can support UNO. The strategic goals of the UNO International Alumni Association are to support student success, build positive UNO awareness, engage former students, and increase participation.

The relationship of the University to the UNO International Alumni Association is described in the Affiliation Agreement which was revised in 2013 to include indemnification [Page: 4] language to protect both the University and the Affiliate against claims, damages, and liability incurred as a result of any act or omission by the University or the UNO International Alumni Foundation. The revised Affiliation Agreement was approved [Page: 10] by the University of Louisiana System Board of Supervisors,, the governing Board of the University of New Orleans. Bylaws for the UNO International Alumni Association describe procedures for establishing the Board of Directors which include two college representatives, a representative from the Faculty Senate, and the President or Vice-President of the Student Government Association.
